Mestrado em Direito das Empresas Com esta tese pretendemos abordar a temática do direito à informação nas sociedades anónimas em Portugal. A informação é a base da nossa sociedade e, por isso, o seu estudo no âmbito do direito das sociedades comerciais é essencial. Por fazer parte do núcleo essencial dos direitos fundamentais dos accionistas, a sua análise utilidade prática são questões sempre fundamentais. Estudaremos o regime legal constante no Código das Sociedades Comerciais e, ao mesmo tempo, outras questões em que o direito à informação e as sociedades anónimas se encontram presentes. Evitar o aparecimento de novos escândalos financeiros como aqueles que nos trouxeram para o estado de crise constante que vivemos actualmente é imprescindível. E isso só será possível caso a informação em circulação seja completa e verdadeira. A confiança nas instituições financeiras e no bom funcionamento dos mercados só é possível com níveis de informação óptimos, aliados a uma supervisão competente por parte da entidade reguladora. Toda essa dinâmica será igualmente alvo de uma análise aprofundada. With the present essay we intend to show the importance of the right to information in the limited companies in Portugal. Information is the basis of our society and therefore its study in the scope of the companies law is indispensable. It is an essential part of the core of the shareholders’ fundamental rights. Our main goal is the study of the companies legal regime and, at the same time, other issues in which the right to information and the companies law is involved. Avoiding new financial scandals like the ones that precipitated the crisis we are currently living through is imperative and unless we have complete and true information this aim cannot be achieved. Trusting the financial institutions and the markets is only possible if there is high quality information together with competent supervision carried out by the regulatory entity. This entire dynamic will also be studied.
